Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms and Conditions:
● “Application” (“YAVA”) means the software program provided by the Company downloaded by You on any electronic device.
● “Account” means a unique account created for you for recording and storage of your location attendance with log in and log out feature and for timely service to the clients at different locations as per work allocation given to you on daily basis to monitor the performance.
● “Company” (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to THE EASTERN TEA COMPANY LIMITED
● “Country” refers to INDIA
● “Device” means any device that can download the application.
● “Said Purpose” shall mean the purpose for using this application which includes recording and storage of your location attendance with log in and log out feature and providing timely service to the clients at different locations as per work allocation given to you on daily basis to monitor performance.
● “Terms and Conditions” (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding your attendance and client service.
● “You” means the individual accessing or using the Application.
Acknowledgment
These are the Terms and Conditions governing the ‘said purpose’ for use of this Application between You and the Company
Your access to use of the Application is conditioned on Your acceptance of and compliance with these Terms and Conditions.
By accessing or using the Application You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Application.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Application.
Your access to and use of the Application is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company.
You accept use of this Application for the said Purpose only. You agree that the Company at any point of time shall not be held liable to you or to any other person claiming under you in any manner whatsoever arising out of the terms and conditions.
User Accounts
You will be provided with a username and password account to access the Application for the “said purpose”.
You are responsible for safeguarding the password that You use to access the Application.
You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.
You will not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
Content
You will not be allowed to post or to publish any content on this application. You will also not be allowed to post and publish any account information in any manner whatsoever in social or private network or anywhere.
Intellectual Property Rights and Its Infringement
You agree that the application and the original contents provided on this application are the property of Company, its affiliates, directors, officers, employees, agents, suppliers, or licensors including all copyrights, trade secrets, trademarks, patents, and other intellectual property. You also agree that you will not reproduce or redistribute the company’s intellectual property in any way, including electronic, digital, or new trademark registrations.
You may be held accountable for damages (including costs and attorneys' fees) for infringing any intellectual property of the Company.
Privacy Policy
This Privacy Policy describes Company’s policies and procedures on collection, use and storage of data when you use this application. The Company use your personal data only for “the said Purpose”.
Termination
We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever.
Upon termination, Your right to use the Application will cease immediately. If You wish to terminate Your Account, You may simply discontinue using Application.
Indemnification
You agree to indemnify the Company harmless against legal claims and demands that may arise from your use or misuse of the Application. We reserve the right to select our own legal counsel.
Limitation on liability
The Company is not liable for any damages that may occur to you at any point of time as a result of your use/misuse of our Application.
The Company reserves the right to edit, modify, and change this Agreement at any time and update the terms and conditions of the Application. This Agreement is an understanding between the Company and you, and this supersedes and replaces all prior agreements regarding the use of this application.
Governing Law
This Agreement shall be governed by the Laws of India.
Disputes Resolution
If You have any concern or dispute about the Application, You agree to first try to resolve the dispute informally by contacting the Company.
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. What constitutes a material change in terms and conditions will be determined at Our sole discretion.
By continuing to access or use this Application after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Application.
